Terms of Service
These Terms of Service ("Terms") govern your access to and use of Diny, an AI-powered short-form video creation service that turns scripts into narrated, shot-based videos using third-party AI models. Diny automates the flow from script → voiceover → shot splitting → image generation → video clips → merged final video using providers such as ElevenLabs, fal.ai, and Replicate.
1. Eligibility & Account Registration
You must be at least 18 years old and able to form a legally binding contract to use the Service. When you register an account you must provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for all activities that occur under your account. Notify us immediately at diny.app.help@gmail.com if you suspect unauthorized use.
2. Billing, Subscriptions & BYOK
The Service is offered through subscription plans (e.g., Free, Basic, Pro) and may also include Diny-specific credits. Prices, inclusions, usage limits, and billing cycles are described in the application or checkout flow. If you connect your own API keys (BYOK) for providers such as ElevenLabs, fal.ai, and Replicate, usage fees for those providers are billed directly by them at their official rates, and Diny is not responsible for those charges. Subscription and any Diny-managed fees are billed by Diny. All fees are non-refundable except where required by law. You authorize us (and our payment processors) to charge your selected payment method for all applicable fees. You are responsible for any taxes, duties, or charges associated with your use of the Service.
3. User Content & Ownership
You retain ownership of scripts, prompts, uploaded files, reference images, style assets, videos, and other materials you submit to or generate through the Service ("User Content"). You grant Diny a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content solely for operating and improving the Service. You must have all rights, licenses, and permissions for any images, characters, reference materials, or assets you upload, and you are responsible for ensuring your uploads do not infringe third-party intellectual property, publicity, or other rights.
4. Generated Output
The Service uses third-party AI APIs (e.g., ElevenLabs, fal.ai, Replicate, and others) to generate voiceovers, images/visuals, captions/transcripts, video clips, and final videos. Output may be inaccurate, biased, or unexpected. Visual outputs are style-based and must not be used to recreate or imitate specific copyrighted characters, brands, or IP. You are solely responsible for reviewing, editing, and validating any output, and for complying with applicable laws, platform policies (e.g., YouTube, TikTok), and any terms of the underlying model providers.
5. Acceptable Use
You agree not to use the Service for unlawful, harmful, or abusive purposes, including generating or distributing deepfakes or impersonations without consent; content that infringes or imitates third-party IP (such as specific characters, logos, or franchises); misinformation or deceptive content presented as factual; or content that is illegal, defamatory, harassing, deceptive, or hateful. You may not violate provider terms (e.g., ElevenLabs, fal.ai, Replicate), reverse engineer, interfere with, or disrupt the Service or its integrations, circumvent usage limits, resell access, or use automated scripts to create accounts or generate traffic. We may investigate violations and suspend or terminate access at our discretion.
6. Privacy & BYOK Security
If you connect your own API keys (BYOK), keys are stored encrypted (e.g., AES-256) and are not logged or exposed in plaintext. You can delete or rotate your keys at any time within the app. You are responsible for managing access to your third-party accounts and for any usage charges incurred with those providers. Our collection and use of personal information is described in the Privacy Policy. By using the Service you consent to the processing of information as described there.
7. Service Changes & Availability
We may modify, suspend, or discontinue any part of the Service, including features and pricing, at any time. The Service depends on third-party AI providers; model availability, pricing, or performance may change outside our control. Provider outages, rate limits, or deprecations (e.g., ElevenLabs, fal.ai, Replicate) may impact features. We may change providers, update supported models, or adjust pricing/plan limits accordingly. We are not liable for delays or failures caused by events outside our reasonable control.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUES, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. WE ARE NOT LIABLE FOR THIRD-PARTY API OUTAGES, ERRORS, OR PRICE CHANGES, NOR FOR ANY COSTS INCURRED ON YOUR BYOK ACCOUNTS (E.G., ELEVENLABS, FAL.AI, REPLICATE) OR FOR DECISIONS YOU MAKE BASED ON GENERATED CONTENT. OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO DINY DURING THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Diny, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
11. Termination
You may terminate your account at any time within the application. We may suspend or terminate your access if you breach these Terms, misuse the Service, or if we are required to do so by law. Upon termination sections that by their nature should survive (including ownership, indemnification, and limitations of liability) will remain in effect.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction for breaches of confidentiality or intellectual property rights.
13. Changes to These Terms
We may update these Terms from time to time. Significant changes will be posted within the Service or communicated via email. Your continued use after changes become effective constitutes acceptance of the revised Terms.
